These Terms apply to all visitors, users, and others who access the Site. For B2B clients who engage Upcore Technologies for services, these Terms apply to website use; the scope, deliverables, fees, and specific obligations of the engagement are governed by a separate Master Services Agreement or Statement of Work.
2. About Upcore
Upcore Technologies Pvt. Ltd. ("Upcore", "we", "our", or "us") is a private limited company incorporated under the Companies Act, 2013, in India. Our registered office is at Bestech Business Tower, Sector 66, Sahibzada Ajit Singh Nagar (Mohali), Punjab 160062, India.
We provide AI engineering governance services (the Fractional AI Officer engagement), AI agent development, and related technology consulting for enterprise clients. The Site serves as our marketing and information presence and includes an AI chat assistant named Kai.
3. Website Use
Permitted use
You may use the Site for lawful purposes only, including:
- Learning about Upcore's services and capabilities
- Submitting genuine enquiries via our contact forms
- Booking a discovery or governance review call
- Reading educational content and insights published on the Site
Prohibited conduct

4. AI Chat Disclaimer (Kai)
Our AI assistant Kai is powered by Anthropic's Claude AI model. By using the chat feature, you acknowledge and agree that:
- Kai's responses are informational only and are not a substitute for professional advice from a qualified adviser
- AI-generated content may be incorrect, incomplete, or inappropriate for your specific circumstances
- You should independently verify any information provided by Kai before relying on it for business decisions
- Your chat messages are transmitted to Anthropic, PBC to generate responses (see our Privacy Policy)
- You must not submit confidential information, trade secrets, personally sensitive data, or legally privileged communications to Kai
Upcore accepts no liability for any loss, damage, or harm arising from your reliance on Kai's responses.
5. Intellectual Property
All content on the Site - including but not limited to text, graphics, logos, icons, images, audio clips, design elements, page layouts, and software code - is the property of Upcore Technologies Pvt. Ltd. or its content suppliers and is protected by applicable copyright, trademark, and intellectual property laws of India and international conventions.
You are granted a limited, non-exclusive, non-transferable licence to access and view the Site content for your personal, non-commercial informational purposes only. This licence does not include the right to:
- Reproduce, distribute, or publicly display any Site content
- Modify or create derivative works based on Site content
- Use content for commercial purposes or on behalf of a third party

Our total aggregate liability to you for any claim arising from your use of the Site (not including claims under a separate service agreement) shall not exceed INR 5,000 (Indian Rupees five thousand).

You agree to defend, indemnify, and hold harmless Upcore Technologies Pvt. Ltd., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

- Your misuse of the Site or any content on it
- Your violation of any applicable law or the rights of a third party
- Any false or misleading Submission you make via the Site
10. B2B Services
Information on this Site about our AI engineering governance, Fractional AI Officer engagement, and AI agent development services is for general informational purposes only and does not constitute an offer to provide services.
All B2B service engagements are subject to a separate, signed agreement between Upcore Technologies and the client organisation. The website does not bind Upcore to any specific deliverables, timelines, pricing, or outcomes mentioned in general marketing copy.
In particular:
- References to "72-hour onboarding", "Day 30 risk report", or "walk away at Day 30" describe our typical service model and are defined precisely in the applicable engagement contract
- Pricing referenced on the Site (such as comparisons with full-time hire or consulting costs) is illustrative and not a binding quote
- Case study outcomes and statistics are based on historical client engagements and are not guarantees of future results
- All intellectual property developed during a service engagement is governed by the IP ownership terms in the applicable service agreement
11. Privacy
Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you consent to our collection and use of data as described in the Privacy Policy.
12. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms, the Site, or our services that cannot be resolved amicably between the parties shall be subject to the exclusive jurisdiction of the courts at Chandigarh, India.
If you are accessing the Site from outside India, you do so of your own accord and are responsible for compliance with local laws. These Terms do not alter your mandatory statutory rights in your jurisdiction.
13. General
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and all remaining provisions shall continue in full force and effect.
Entire agreement
These Terms, together with our Privacy Policy and any applicable service agreement, constitute the entire agreement between you and Upcore regarding your use of the Site and supersede all prior discussions and representations.
Waiver
Our failure to exercise or enforce any right under these Terms does not constitute a waiver of that right. Any waiver must be in writing and signed by an authorised representative of Upcore.

Force majeure
